Under the Companies Act 2014 (as amended), a company secretary of a company has authority to bind that company in respect of matters regarding the day to day administration thereof. In addition, a company secretary may bind a company based on “ostensible authority” (i.e. where he or she is held out by the company as having the authority).
A company secretary has no authority to make contracts outside the usual areas of authority for a company secretary unless specifically authorised to do so by the directors.
